Constitution of the Chichester and District Branch of the United Nations Association of Great Britainand Northern Ireland (UNA–UK)
This Constitution was adopted on the 10th day of September 2008.
1. Name
The name of this Branch is the Chichester and District Branch of the United Nations Association UK.
2. Status
This Branch has been recognised by the Board of Directors of the United Nations Association of Great Britain and Northern Ireland ("UNA–UK"), a not–for–profit private company limited by guarantee:
  • registration number 02885557;
  • registered office at 3 Whitehall Court, London SW1A 2EL;
  • registered on 7th January 1994.
This Branch is financially and legally autonomous of UNA–UK in the conduct of all this Branch's own affairs.
3. Objects
This Branch subscribes to the Objects of UNA–UK, as set out in Clause 3 of UNA–UK's Memorandum of Association:
  1. to promote greater understanding of the role, functions and potential of the United Nations and its agencies in securing peace and freedom from poverty and oppression among all peoples;
  2. to encourage and generate governmental and public support for UN initiatives:
    1. in conflict avoidance and resolution, peacekeeping and disarmament;
    2. for sustainable economic and social development, environmental protection and human rights;
  3. to promote and lead discussion of new structures, new roles and all measures which could strengthen the United Nations;
  4. to work to ensure that the United Nations has the resources it requires effectively to fulfil the many responsibilities placed upon it;
  5. and in pursuance of the principles of the Preamble to the United Nations Charter:
    1. to work for friendship and understanding between the peoples of different countries and their co–operation in the tasks of peace;
    2. to foster among the people of this country a sense of responsibility as world citizens.
4. Functions
This Branch commits itself:
  • to support, to the best of its abilities, national campaigns adopted from time to time by the Annual Conference or by the Board of Directors of UNA–UK (including holding branch meetings and engaging in educational activities);
  • to inform UNA–UK Head Office in advance, of any planned activities which may fall outside those risks covered by the UNA–UK public liability insurance;
  • to manage its affairs so as to protect the good name of UNA–UK;
  • to raise money and devote its finances to furthering the Objects of UNA–UK;
  • to provide to the Head Office of UNA–UK an annual Report of Activities and Statement of Income and Expenditure (including details of expenditure of any charitable grants made to this Branch by The UNA Trust, registered charity: 256236);
  • to provide the Head Office of UNA–UK with the names and addresses of all its Officers and such returns of its Membership as the Board of Directors of UNA–UK may require.
5. Membership
Membership of this Branch is open to anybody residing within the locality who are:
  • fully paid–up Members of UNA–UK;
  • fully paid–up student and youth Members of UNA–UK;
  • Honorary Life Members of UNA–UK;
  • all Local Affiliate Organisations approved by the Board of Directors of UNA–UK.
The minimum number of Members in this Branch is to be six fully paid–up UNA–UK Members (members paying the student / youth rate shall be full members of the branch).
6. Annual General Meeting
This Branch shall convene an Annual General Meeting once in each calendar year at such time and place as the committee may decide. The date of the AGM should be related to the end of the branch financial year so that members can examine the accounts. Written notice of the meeting shall be given thirty (30) days before the date of the meeting and sent to all eligible members or affiliations.
Only eligible members (as defined in Section 5 above) shall be entitled to vote.
The quorum required for a General Meeting shall be six or one tenth of the total number of Branch members at the time, whichever is the greater.
The business of the Annual General Meeting shall include:
Branches also agree to forward an annual report and accounts to their region and to HQ upon request.
7. Officers
The Officers of this Branch shall be:
  • the Chair or Convenor;
  • the Secretary;
  • the Treasurer;
  • such other Officers as the Annual General Meeting of Members (AGM) of this Branch may decide from time to time.
All Honorary Presidents, Branch Officers and Committee Members shall hold office for one year, after election by the Members of this Branch at each AGM, and are eligible to stand for re–election.
Only fully paid–up members, honorary life members or student and youth members of UNA–UK are eligible for election as Branch Officers and/or Committee Members.
The names of the officers shall be provided to UNA–UK HQ.
8. Committee
The Branch Committee shall consist of the Branch Officers and such Committee Members as this Branch may decide to elect at its AGM. The Branch Committee may fill casual vacancies between AGM's by co–option.
The Branch Committee shall be responsible for the conduct of the affairs of this Branch (subject to any directions given by each AGM) including:
  • election of a Branch Member as a Representative to the Council (if functioning) of the Region in which the Branch is located;
  • election of two (or three if the Branch Membership exceeds 100) Branch Members as Representatives to Annual or Special Conferences of UNA–UK;
  • proposing and amending motions to Annual Conference, in accordance with conference procedures.
9. Termination
This Branch shall be wound up if either:
  • it has fewer than 6 individual paid–up members, honorary life members or student and youth members of UNA–UK for more than twelve months;
  • the Board of Directors of UNA–UK decides that it is necessary or advisable to do so, and has informed all members of the Branch in writing with the reasons for the Board's decision.
On winding up the Officers shall cause:
  • any outstanding bills to be paid;
  • a final statement of all accounts to be produced;
  • a cheque for any remaining money to be sent to the UNA Trust to be used for educational purposes;
  • the closure of all accounts;
  • and ensure that all the records of the business of the Branch are sent to the local Records Office for safekeeping.
